These Terms of Service (the "Terms") form a binding agreement between you ("User," "you") and Holistic Quality LLC, an Ohio limited liability company ("Holistic Quality," "we," "us," "our") governing your access to and use of the ALETHEIA chemical safety intelligence API and related SDKs, documentation, and data layers (collectively, the "Service").
1. Acceptance and Scope
Acceptance. By clicking "I agree" where prompted, subscribing through RapidAPI, accepting a direct-issued API key, making any API call, installing or using any ALETHEIA SDK, accessing data via safety.holisticquality.io, or otherwise using the Service, you acknowledge that these Terms, the ALETHEIA Disclaimer, and the ALETHEIA Privacy Policy were made available to you and that you assent to them. For direct-issued API keys, Holistic Quality may require electronic or written acceptance and may retain a record of the version accepted. Each of these documents is incorporated into these Terms by reference as posted at the time of your access, subject to the change-notice provisions in Section 17 (Terms), Section 11 of the Privacy Policy, and the change-notice paragraph of the Disclaimer.
Conflicts between incorporated documents. In the event of a conflict between these Terms and the Disclaimer, these Terms govern. In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy governs solely with respect to the processing of personal data. In the event of a conflict between the Disclaimer and the Privacy Policy, the Privacy Policy governs solely with respect to the processing of personal data, and the Disclaimer governs with respect to all other matters.
If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. "You" then includes both you individually and the organization.
If you do not agree to these Terms, do not use the Service.
2. Definitions
- "API" means the ALETHEIA programmatic interface, including all endpoints, SDKs, documentation, and response payloads.
- "Returned Data" means all data, classifications, statistical profiles, consensus indicators, analytical outputs, and other content delivered by the API.
- "Source Authorities" means the scientific, research, and regulatory authorities whose publicly available outputs are ingested by ALETHEIA, including but not limited to the International Agency for Research on Cancer (IARC), the U.S. Environmental Protection Agency (U.S. EPA), the European Food Safety Authority (EFSA), the European Chemicals Agency (ECHA), and others. Source Authorities employ different evaluation paradigms (including hazard identification vs. risk assessment, and differing weight-of-evidence frameworks); ALETHEIA's normalization and comparative outputs do not reconcile these methodological differences and should not be interpreted as establishing regulatory equivalence among Source Authorities.
- "RapidAPI" means the third-party API marketplace (operated by R Software Inc.) through which ALETHEIA is offered to certain users and which handles authentication, metering, and billing for those users.
3. Service Description and Changes
ALETHEIA aggregates and normalizes publicly available chemical hazard classifications and regulatory categorizations from Source Authorities. It also produces derived outputs — including statistical confidence profiles and cross-source consensus indicators — using ALETHEIA's own analytical framework. These derived outputs reflect methodological judgments about how to align heterogeneous source materials; they are not independent toxicological conclusions, not regulatory determinations, and not risk assessments. Consensus indicators reflect alignment on whether a substance warrants regulatory attention or exhibits hazard potential; they do not represent methodological agreement on risk magnitude, exposure thresholds, or dose-response relationships. All derived outputs are subject in full to the Disclaimer and to the disclaimers of warranty and limitations of liability in these Terms.
We may modify, suspend, add to, or discontinue any part of the Service at any time. We will use commercially reasonable efforts to provide notice of material changes through the Service website, the RapidAPI listing, or, for users with direct-issued accounts, via email to the address associated with your account.
4. Eligibility, Accounts, API Keys, and User Representations
Eligibility. You must be at least 18 years of age and legally able to enter into a binding contract to use the Service.
Authentication. Access to the Service is authenticated via API keys. For users accessing through RapidAPI, authentication, key issuance, and billing are handled by RapidAPI under its own terms. For users accessing through any direct-issued API key, you are responsible for safeguarding the key and preventing unauthorized use.
Key compromise. You must promptly notify us of any suspected or actual compromise of an API key. You are responsible for all activity under any API key issued to you or used by you that occurs prior to your notice to us of compromise. We will use commercially reasonable efforts to disable compromised keys promptly upon receipt of notice, and you are not responsible for unauthorized activity occurring after we have received and acted on your notice.
Competence representation. You represent that you, or the personnel in your organization who will interpret Returned Data, possess the scientific, regulatory, or professional competence necessary to interpret the data appropriately for your intended use, or that such interpretation will be performed in consultation with qualified professionals.
5. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms, the Disclaimer, the Service documentation, and any rate limits or tier restrictions applicable to your subscription. You are solely responsible for your use of Returned Data, including any decisions made or actions taken in reliance upon it.
6. Prohibited Uses
You will not, and will not permit any third party to:
- use the Service to violate any law, regulation, or third-party right;
- use Returned Data as input to train, fine-tune, distill, or otherwise create a machine learning model, foundation model, embedding, or dataset intended to replicate or compete with the Service, except with prior written consent;
- resell, sublicense, or redistribute the Service or bulk Returned Data as a standalone product or data feed;
- scrape, crawl, or systematically extract Returned Data other than through documented API endpoints and within applicable rate limits;
- reverse-engineer, decompile, or attempt to derive the source code of the Service or its underlying analytical models;
- remove, alter, or obscure any attribution, disclaimer, source citation, or ingestion timestamp contained in Returned Data;
- represent Returned Data as an authoritative regulatory determination or as the output of any Source Authority;
- use the Service to make or substantially inform safety-critical decisions, including emergency response, medical diagnosis or treatment, regulatory compliance filings, or any decision where error would create foreseeable risk of physical harm. The Service is not designed, validated, or offered for such uses. Independent verification through primary sources and consultation with qualified professionals is a User's responsibility regardless of the scope of this prohibition and does not cure prohibited use. The prohibition in this subsection (h) applies to uses that are primarily or substantially safety-critical; ordinary internal research, screening, or comparative analysis of Returned Data that does not directly inform a safety-critical decision remains permitted subject to the other provisions of these Terms and the Disclaimer;
- probe, scan, or attempt to breach the security of the Service, or circumvent authentication, rate limits, or usage metering;
- use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use;
- represent hazard classifications (such as IARC monograph categories or other hazard-identification outputs) as risk assessments, or otherwise imply that Returned Data quantifies likelihood of harm under specific exposure scenarios without independent risk assessment performed by qualified professionals.
Violation of this section may result in immediate suspension or termination of your access, without refund.
7. Fees and Payment
Fees for the Service are set forth in the applicable pricing tier on RapidAPI or in any separate direct agreement. Billing and payment processing for RapidAPI-routed users are handled by RapidAPI under its own terms. All fees are non-refundable except as required by law or expressly stated in these Terms.
We may change pricing for new subscription periods on at least thirty (30) days' notice. Continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing.
8. Intellectual Property
Our rights. Holistic Quality owns the Service, the ALETHEIA name and marks, the analytical framework used to produce derived outputs, the schema, the documentation, and all improvements to the foregoing. Except for the limited license granted in Section 9, nothing in these Terms transfers any intellectual property to you.
Source Authority materials. The underlying publicly available data originates with the Source Authorities and is subject to their own terms, licenses, and attribution requirements. You are responsible for complying with any applicable Source Authority terms when using Returned Data.
Feedback. Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without restriction and without obligation to you.
9. License to Use Returned Data
Subject to these Terms and payment of applicable fees, Holistic Quality grants you a limited, non-exclusive, non-transferable, revocable license, during the term of your active subscription, to access and use Returned Data as follows:
(a) Permitted internal use. You may access, store, analyze, and use Returned Data for your internal business operations, including research, evaluation, and integration testing.
(b) Permitted downstream and end-user display. You may incorporate Returned Data into products or services you provide to your end users, provided that: (i) the Returned Data is not itself the primary deliverable (i.e., your product or service must provide value beyond redistribution of the Returned Data); (ii) attribution to "ALETHEIA by Holistic Quality LLC" is displayed where Returned Data is surfaced to end users, unless waived in writing; (iii) you do not represent Returned Data as the output of any Source Authority or as an authoritative regulatory determination; and (iv) your end-user agreements include risk-allocation and disclaimer terms at least as protective of Holistic Quality as these Terms and the Disclaimer.
(c) Forbidden uses. You may not: (i) resell Returned Data as a standalone data feed or data product; (ii) use Returned Data to build, train, or distill a model, embedding, or dataset intended to replicate, substitute for, or compete with the Service; (iii) cache or retain Returned Data beyond what is reasonably necessary for the permitted uses above; or (iv) take any action prohibited by Section 6.
(d) Post-termination. Upon termination of your subscription or these Terms, you must cease making new API calls and cease new ingestion of Returned Data. You may retain Returned Data previously obtained in compliance with these Terms solely to the extent it is embedded in historical records, internal analyses, backups, or end-user-facing products deployed prior to termination. Retained Returned Data remains subject to these Terms (including Sections 6, 8, 10, 11, 12, and 13) and to any attribution requirements.
10. Third-Party Source Materials
The Service aggregates content from Source Authorities. We do not control, endorse, guarantee, or warrant the content of Source Authority materials. Source Authority classifications, assessments, and determinations may change, be corrected, withdrawn, or superseded without direct notice to us or to you. We have no obligation to update Returned Data retroactively to reflect upstream changes, and we make no representation that Returned Data is current, complete, or reproduced exactly as officially adopted by any Source Authority.
Delay acknowledgment. You acknowledge that ingestion cadences may result in material delays between the issuance of a Source Authority classification, correction, or withdrawal and its reflection in Returned Data, and that such delays may extend to weeks, months, or longer. You must not rely on any Returned Data for any consequential purpose without independent, contemporaneous verification against primary Source Authority records.
11. Disclaimer of Warranties
The full warranty disclaimer is set forth in the Disclaimer and is incorporated here. Without limiting that document:
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RETURNED DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." HOLISTIC QUALITY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply to the maximum extent permitted.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) HOLISTIC QUALITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; COST OF SUBSTITUTE SERVICES; OR ANY DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE, RETURNED DATA, SOURCE AUTHORITY CONTENT, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) HOLISTIC QUALITY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).
(c) THE LIMITATIONS IN THIS SECTION ARE MATERIAL TO THE PRICING AND AVAILABILITY OF THE SERVICE AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted.
13. Indemnification
You will indemnify, defend, and hold harmless Holistic Quality, its affiliates, members, employees, and agents from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms, the Disclaimer, the Privacy Policy, or any applicable law; (c) your violation of any third-party right, including any intellectual property right; (d) any decision or action you take in reliance upon Returned Data that allegedly causes harm to a third party; and (e) any claim that a product or service you build using Returned Data caused harm to a third party.
Operator-fault carve-out. The foregoing obligations do not apply to the extent the third-party claim arises from Holistic Quality's gross negligence or willful misconduct.
14. Force Majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil disturbance, pandemic, government action, labor disputes, utility failures, internet or telecommunications failures, cloud-provider outages, or errors, corrections, withdrawals, or retroactive changes in Source Authority content. Payment obligations are not excused by this section.
15. Term and Termination
These Terms take effect when you first use the Service and continue until terminated. You may terminate at any time by ceasing use of the Service and, where applicable, canceling your subscription through RapidAPI or by notice to us. We may suspend or terminate your access at any time, with or without cause, and with or without notice, including for violation of Section 6 (Prohibited Uses).
Survival. The following sections survive termination of these Terms: Section 6 (Prohibited Uses, solely as applied to Returned Data retained under Section 9(d)), Section 8 (Intellectual Property), Section 9(d) (Post-termination retention), Section 10 (Third-Party Source Materials), Section 11 (Disclaimer of Warranties), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 16 (Governing Law, Dispute Resolution, and Class Waiver), and Section 18 (Miscellaneous), together with any other provision that by its nature is intended to survive.
16. Governing Law, Dispute Resolution, and Class Waiver
(a) Governing law. These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
(b) Mandatory arbitration. Any dispute, claim, or controversy arising out of or relating to the Service or these Terms (a "Dispute") will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Warren County, Ohio, or by videoconference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
(c) Exceptions. Either party may bring an action in court solely to: (i) seek injunctive or equitable relief to protect intellectual property or confidential information, or (ii) pursue a claim in small-claims court if it qualifies.
(d) CLASS WAIVER. ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. IF THIS CLASS WAIVER IS FOUND UNENFORCEABLE AS TO ANY CLAIM, THAT CLAIM (AND ONLY THAT CLAIM) WILL BE SEVERED AND HEARD IN COURT UNDER SECTION 16(e).
(e) Venue for non-arbitrable matters. For any action not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state courts located in Warren County, Ohio, and the federal courts of the Southern District of Ohio.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced at least thirty (30) days before taking effect, through the Service website, the RapidAPI listing, or, for users with direct-issued accounts, via email to the address associated with your account. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree to an update, your sole remedy is to stop using the Service before the effective date.
18. Miscellaneous
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified only to the extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of that provision or of our right to enforce it later.
Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
Entire agreement. These Terms, together with the Disclaimer, the Privacy Policy, and any order form or subscription agreement expressly referencing these Terms, constitute the entire agreement between you and Holistic Quality regarding the Service and supersede all prior understandings.
No agency. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between the parties.
Notices. Notices to us must be sent to legal@holisticquality.io (for Terms and contract matters) or privacy@holisticquality.io (for privacy matters). Notices to you may be sent through the channels described in Section 17 (Terms), the change-notice paragraph of the Disclaimer, or Section 11 of the Privacy Policy, as applicable, or posted on the Service website.
Export. You will comply with all applicable U.S. and international export control and sanctions laws in your use of the Service.
